Terms of Service

These Terms of Service (the “Terms”) govern access to and use of the StaySage platform, websites, applications, and related services (collectively, the “Service”), operated by Tahosa Systems LLC (“Tahosa Systems”, “we”, “us”). By creating an account, activating a property, or otherwise using the Service, you (“you”, the “Host”) agree to these Terms. If you use the Service on behalf of a company, you represent that you have authority to bind that company. Guests who use a StaySage guest page are governed by the separate Guest Terms.

1. The Service

StaySage lets Hosts create an AI-powered concierge and digital house guide for short-term rental properties. Hosts supply information about their properties; the Service uses artificial intelligence to organize that information, answer guest questions, generate content, classify guest messages, and notify Hosts or their designated contacts of certain issues.

2. Artificial intelligence; no guarantee of accuracy

The Service relies on large language models and other AI technologies. AI-generated output can be incomplete, outdated, misclassified, or simply wrong, including in ways that appear confident and plausible (often called “hallucinations”). You acknowledge and agree that:

• AI output is provided for convenience and is not guaranteed to be accurate, complete, or fit for any particular purpose;
• you are solely responsible for reviewing the knowledge base, guides, and other content the Service generates or stores for your properties, and for correcting errors;
• message classification and escalation (including “urgent” and “emergency” detection) is probabilistic and may miss, delay, or misroute issues, and notifications may fail to send or be delivered;
• the Service is not an emergency service, a life-safety system, a monitoring service, or a substitute for your own guest communication, and you will not represent it as such to guests.

3. Accounts and eligibility

You must be at least 18 years old and able to form a binding contract. You are responsible for safeguarding access to your account and for all activity under it. Notify us promptly of any unauthorized use.

4. Your content and responsibilities

You retain ownership of the content you provide to the Service, including property details, manuals, and knowledge entries (“Host Content”). You grant Tahosa Systems a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, adapt, and display Host Content solely to operate, provide, secure, and improve the Service. You represent that you have the rights to the Host Content you provide and that it is accurate. You are solely responsible for:

• the accuracy and lawfulness of Host Content, including access codes and safety information;
• complying with laws applicable to your rental activity, including lodging, privacy, consumer-protection, and landlord-tenant laws;
• obtaining any consents needed to share a guest's name, email, or phone number with the Service;
• your relationships and agreements with guests, booking platforms, and property owners.

5. Acceptable use

You will not use the Service to:

• violate any law or the rights of others;
• upload malicious code or attempt to probe, disrupt, or gain unauthorized access to the Service;
• send spam or unsolicited messages, or use guest contact information beyond the guest's stay-related needs;
• misrepresent AI output as human-authored where disclosure is required, or disable disclosures the Service provides;
• resell or white-label the Service without our written agreement.

6. Subscriptions, billing, and trials

Paid plans are billed per active property on a recurring basis at the prices shown at purchase. You can deactivate a property at any time; charges are prorated or stop at the next billing cycle as described at checkout. Fees are non-refundable except where required by law. We may change pricing with at least 30 days' notice, effective at your next renewal. Taxes are your responsibility where applicable.

7. Third-party services

The Service depends on third-party providers (including hosting, database, AI model, email, and SMS providers) and can import data from third-party platforms such as calendar feeds. We are not responsible for third-party services, their availability, or their content, and their terms may apply to your use of features they power. Booking platforms (such as Airbnb or Vrbo) are not partners with, and do not endorse, StaySage.

8. Intellectual property

The Service, including its software, design, and branding, is owned by Tahosa Systems and its licensors. We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during your subscription. Feedback you send us may be used without restriction or obligation.

9. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WITHOUT LIMITING THE FOREGOING, WE MAKE NO WARRANTY REGARDING THE ACCURACY OF AI-GENERATED OUTPUT, THE CLASSIFICATION OR ESCALATION OF GUEST MESSAGES, OR THE DELIVERY OF ANY NOTIFICATION.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) TAHOSA SYSTEMS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL; (b) TAHOSA SYSTEMS WILL NOT BE LIABLE FOR PERSONAL INJURY, PROPERTY DAMAGE, OR OTHER LOSSES ARISING FROM RELIANCE ON AI-GENERATED OUTPUT, FROM MISSED, DELAYED, OR MISROUTED ESCALATIONS OR NOTIFICATIONS, OR FROM INFORMATION YOU OR YOUR GUESTS PROVIDED; AND (c) OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED U.S. DOLLARS ($100) IF YOU HAVE PAID NOTHING. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

11. Indemnification

You will defend, indemnify, and hold harmless Tahosa Systems and its officers, employees, and agents from and against claims, damages, and expenses (including reasonable attorneys' fees) arising from: (a) Host Content, including inaccurate or unlawful property information; (b) your rental activity or your relationships with guests or booking platforms; (c) your violation of these Terms or applicable law; or (d) your provision of guest personal information to the Service without a lawful basis.

12. Termination

You may stop using the Service and cancel at any time. We may suspend or terminate the Service or your account for breach of these Terms, legal risk, or extended non-payment, with notice where practicable. Upon termination, guest links stop working and we may delete your data after a reasonable wind-down period, subject to our Privacy Policy. Sections 2, 4, and 8 through 15 survive termination.

13. Governing law and disputes

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-laws rules. The state and federal courts located in Colorado will have exclusive jurisdiction, and each party consents to personal jurisdiction there. Each party waives any right to a jury trial, and claims may be brought only on an individual basis, not as a class or representative action, to the extent permitted by law.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified through the Service or by email, and take effect on the date stated in the notice. Continued use after the effective date constitutes acceptance.
